General Terms and Conditions

§ 1 General Provisions and Contractual Basis

(1) The following General Terms and Conditions govern the contractual relationship between dr.reinwald vital ltd., Lord Byron Street 61-63, 5th Floor, CY-6023 Larnaka, Tel. +49 (0)9187 808780; Fax +49 (0)9187 8087829; Email: [email protected] (hereinafter referred to as the “Seller”), and the Customer for the sale of dr.reinwald vital products via the dr.reinwald vital online shop and other online distribution channels.

As different provisions may apply to consumers and business customers, these Terms and Conditions explicitly distinguish between consumers within the meaning of Section 13 of the German Civil Code (BGB) and entrepreneurs within the meaning of Section 14 BGB. A consumer is any natural person who enters into a legal transaction for purposes that predominantly are outside their trade, business, or profession. An entrepreneur is a natural or legal person or a partnership with legal capacity who acts in the course of their commercial or independent professional activity when concluding a legal transaction.

(2) These Terms and Conditions apply in the version valid at the time of contract conclusion to all supply contracts concluded exclusively by means of distance communication.

§ 2 Conclusion of Contract

(1) The presentation of products in the dr.reinwald vital online shop does not constitute a legally binding offer but merely an invitation to place an order. By clicking the “Buy now” button, you submit a legally binding offer to enter into a purchase contract pursuant to Section 433 BGB. Upon completing the order process, you will receive an automatically generated email acknowledging receipt of your order and listing the details (order confirmation). This email does not constitute acceptance of your offer. The purchase contract is only concluded once we accept your order by sending a separate email with an invoice, payment information (depending on the selected payment method), and/or confirmation that the order has been forwarded to the shipping department.

If your offer is not accepted within two days (§ 193 BGB; Saturdays, Sundays, and public holidays are not included), the offer is deemed rejected, and you are no longer bound by it.

(2) To place a binding order using the Seller’s online shopping system, the Customer selects one or more items and adds them to the virtual cart by clicking “Add to cart.” At any time, the Customer can view the cart by clicking “Checkout” and make changes. After completing the selection, the Customer proceeds to the checkout area and chooses to order without registering, create a customer account, or log in to an existing account. After entering personal data, the Customer selects the shipping and payment method and is then directed to an order summary page. Here, all details can be reviewed and changed. Only by clicking “Buy now” is the order bindingly submitted.

(3) The Seller does not store the contract text or order data in a form that is accessible to the Customer after order placement. If the Customer wishes to retain the information, they must print, save, or copy the relevant data before placing the order.

(4)If the Customer selects PayPal as the payment method, the purchase contract is concluded immediately upon clicking “Buy now,” deviating from § 2 (1). The PayPal login screen will appear, and upon confirming payment, the total order amount, including any applicable shipping fees, is immediately credited to the Seller’s account. Shipment will be made within two business days after receipt of payment.

(5) The Customer may also place an order via telephone, fax, email, or mail.

§ 3 Retention of Title

The goods remain the property of dr.reinwald until payment has been received in full. Pledging or transfer of ownership by way of security is not permitted before ownership is transferred. The Customer must inform the Seller immediately of any third-party claims on the goods.

§ 4 Payment Terms

All prices are end-consumer prices and include applicable German VAT. Delivery is offered with several payment options, which may vary depending on the country.

For orders via email, telephone, or fax, the following methods are available:

DIRECT DEBIT (only from German or Austrian bank accounts)
Enter your bank details when placing your order. Your goods will be forwarded to the shipping department immediately.

PAYPAL (available internationally)
Fast and convenient. Your goods will be shipped immediately after payment. You’ll be redirected to PayPal during checkout. Follow the instructions provided.

When paying via PayPal, payment processing is carried out by PayPal (Europe) S.à.r.l. et Cie, S.C.A., 22-24 Boulevard Royal, L-2449 Luxembourg, under its applicable user agreement:

ADVANCE PAYMENT (available internationally)
Please transfer the invoice amount stated in your order confirmation within 8 days (10 days for international transfers). Include your order number and your name (if different from the account holder). The delivery period begins two business days after your bank initiates the transfer. Our bank details are included on the invoice.

If approved, the Seller assigns the claim to PayPal. Payment must then be made directly to PayPal within 14 days. Other obligations (e.g., delivery, warranty) remain with the Seller.

In case of failed credit checks, the Seller reserves the right to reject PayPal Invoice and require an alternative method.

Fast and convenient. Goods are shipped immediately.

§ 5 Delivery

(1) Unless otherwise stated, delivery will take place within 5 business days after contract conclusion (§ 2 (1)). For prepayments, shipping begins two business days after the payment order. No deliveries are made on weekends or public holidays.

Customers must ensure their address details are correct and current. Changes must be submitted during checkout or via email. Additional costs due to incorrect data will be borne by the Customer.

The Customer must also ensure that the provided email address is correct and not blocked by spam filters to receive contract-related communication.

(2) Shipments are made worldwide via DHL. Max package weight: 31 kg. Customs duties may apply for non-EU countries..

§ 6 Transfer of Risk

If the Customer is a consumer, the risk of accidental loss or deterioration of the goods passes upon delivery. If the Customer is in default of acceptance, this is deemed equivalent to delivery.

If the Customer is an entrepreneur, the risk transfers upon handover to the carrier.

§ 7 Warranty / Duty to Inspect

(1) Only new products are shipped. If a defect occurs (within the meaning of § 434 BGB), please contact us, preferably by email. We take complaints seriously and will provide a replacement or refund, including shipping costs.

For consumers, the warranty period is two years from delivery.
For entrepreneurs, the period is one year from delivery.

All further warranty rights are governed by statutory provisions.

(2) The above shortened warranty periods do not apply to claims for injury to life, body, or health, or for gross negligence, intentional harm, fraud, or statutory recourse (§§ 478, 479 BGB), or where guarantees have been given.

(3) Entrepreneurs must inspect the goods upon receipt and notify us immediately of any defects (§ 377 HGB). Failing to do so will result in acceptance of the goods unless the defect was not detectable during inspection.

§ 8 Transport Damage

If goods are delivered with visible damage, please notify the delivery personnel and document the damage. Also inform us immediately. This is a request, not an obligation – your warranty rights remain unaffected.

Hidden defects or missing items must be reported within three days of discovery.

§ 9 Right of Withdrawal for Consumers

Applies only to purchases within the EU.
Consumers (see § 13 BGB) have the right to withdraw from the contract within 14 days without giving reasons.

Withdrawal period: 14 days from the day the Customer or a third party (excluding the carrier) takes possession of the final item in the order.

You may use our withdrawal form, but it is not mandatory.

Consequences:
We will refund all payments, including standard shipping, within 14 days. We may withhold the refund until goods are returned or proof of return is provided.

Goods must be returned within 14 days. You bear the direct cost of return.
You are liable for any loss in value only if it results from improper handling beyond checking the condition and function.

Exclusions:
No right of withdrawal for:

Perishable goods
Sealed items that are unsuitable for return due to hygiene/health reasons once unsealed
Sealed media/software once unsealed

§ 10 Returns

If you exercise your right of withdrawal, you must bear return shipping costs. Please avoid sending items “freight collect,” as the cost will be deducted from your refund.

§ 13 Final Provisions

Cypriot law shall apply, excluding the UN Sales Convention (CISG). For consumers, this applies only to the extent it does not remove protections granted under the laws of their country of residence.

If the Customer is a business, public legal entity, or special fund under public law, the exclusive place of jurisdiction is Nuremberg, Germany.
